Terms of Service

1. Definitions

The following terms are used throughout these Terms of Service:

• Content - Videos, photographs, images, artwork, graphics, audio clips, comments, data, text, software, scripts, or other materials submitted, posted, or displayed on the platform.
• User Content - Any Content submitted by users.
• Software - The code, application, or project submitted as part of a hackathon entry.
• Submission - The version of Software entered into a specific hackathon.
• Hackathon Content - Content posted as part of a hackathon, including descriptions, rules, promotional materials, and requirements.
• Official Rules - The specific terms and conditions posted for each hackathon.
• Submission Period - The timeframe during which participants may submit entries.

2. Account Registration and Authentication

To participate in hackathons and access certain features of Vibecode.party, you must create an account using Clerk Authentication. You agree to:

• Provide accurate registration information including your name, email, username, and avatar
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

If you choose to connect your GitHub account, you grant us permission to access and store repository information, create webhooks, and manage access tokens for hackathon participation purposes.

3. Platform Features and Services

Vibecode.party provides a platform for hackathon organization and participation. By using our platform, you agree to the following terms regarding our features:

• Hackathon Participation:
  • Submit projects with titles, descriptions, and GitHub repository links
  • Participate in voting and judging processes
  • Post activity updates and comments
  • Receive and provide feedback on submissions
• GitHub Integration:
  • Connect your GitHub repository for project submissions
  • Allow webhook creation for project tracking
  • Grant necessary repository access permissions
• Communication:
  • Receive email notifications via SendGrid
  • Engage in platform discussions and comments
  • Receive important updates about hackathons and your participation

4. Prohibited Content and Activities

You agree not to submit, post, upload, or transmit any content or engage in any activities that:

• Contains adult, pornographic, or sexually explicit material
• Promotes violence, hate speech, or discrimination of any kind
• Contains graphic violence or gore
• Promotes illegal activities or substances
• Infringes on intellectual property rights
• Contains malware, viruses, or malicious code
• Promotes gambling or illegal betting
• Contains disinformation or deliberately misleading content
• Harasses, bullies, or intimidates others
• Impersonates other individuals or entities
• Exploits or harms minors in any way
• Violates any applicable laws or regulations

Vibecode.party reserves the right to remove any content, terminate accounts, and/or report violations to appropriate authorities if we determine, in our sole discretion, that any user has violated these prohibitions. We may also take these actions if we believe content or activities could expose Vibecode.party or its users to harm, liability, or reputational damage.

5. Hackathon Rules and Participation

When participating in hackathons, you agree to:

• Follow the specific rules and guidelines of each hackathon
• Submit projects before the designated end date and time
• Participate in voting when applicable, following the established voting categories and duration
• Maintain appropriate conduct in all hackathon-related communications and submissions
• Accept the voting results and judging decisions as final
• Ensure your submission is your original work and does not infringe on any third-party rights
• Grant us necessary licenses to display and promote your submission
• Accept that we may extend, shorten, or modify hackathon parameters including voting duration and categories

Team Submissions

For team submissions, one member must be designated as the team representative. This representative must have authority to submit on behalf of the team and accept these terms. The representative's decisions, communications, and agreements are binding on all team members. Any disputes between team members must be resolved internally and will not affect the platform's decisions regarding the submission.

Submission Requirements

Your submission must be your (or your team's) original work. You maintain ownership of your intellectual property rights but grant us and hackathon organizers a license to display, promote, and share your submission. We are not responsible for incomplete, late, misdirected, or lost submissions. We reserve the right to verify the eligibility of any submission and disqualify entries that violate these terms or specific hackathon rules.

Judging and Voting

Hackathons may include public voting, expert judging, or both. For public voting, each user is limited to one vote per submission. Any attempt to manipulate voting through multiple accounts, automated means, or offering compensation for votes will result in disqualification. We reserve the right to verify vote counts and disqualify suspicious voting patterns.

Platform Rights

We reserve the right to modify hackathon parameters including voting duration, categories, and participation rules. We may also terminate or modify any hackathon if we suspect fraud, technical failures, or any other factor compromises the integrity or proper functioning of the hackathon. In such cases, we may award prizes based on eligible entries received before the termination or modification.

6. Sponsorship and Payment Terms

For hackathon sponsorships and payments:

• All payments are processed securely through Stripe
• Sponsorship tiers may include fixed or minimum amounts
• Sponsors may offer prizes and special benefits
• All sponsorship submissions require approval
• Payment status and approvals are tracked and monitored
• Refunds are subject to our sponsorship policies

7. Content and Intellectual Property

You retain ownership of your submissions while granting us necessary licenses to:

• Store your content on our AWS S3 servers
• Display your submissions, comments, and activity updates
• Share your public profile information with other users
• Use your content for platform promotion and improvement

8. Disclaimer of Warranties

Vibecode.party and all its services, features, and content are provided strictly “as is” and “as available” without any warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise. We explicitly disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, security, and availability. You acknowledge and agree that your use of the platform is at your own risk. We make no warranty that: (a) the platform will meet your requirements or expectations; (b) the platform will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components; (c) any errors in the platform will be corrected; (d) the results obtained from using the platform will be accurate or reliable; or (e) the quality of any products, services, information, or other material obtained through the platform will meet your expectations.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Vibecode.party, its operators, owners, licensors, service providers, partners, employees, agents, officers, or directors be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from: (a) your use or inability to use the platform; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the platform; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the platform by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, transmitted, or otherwise made available through the platform; and/or (f) the defamatory, offensive, or illegal conduct of any third party.

You specifically acknowledge that we shall not be liable for user submissions or the defamatory, offensive, or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with you. You agree that our total liability in any matter arising out of or related to these terms or your use of the platform is limited to the greater of (i) any amounts paid by you to us during the six (6) months prior to the event giving rise to the liability or (ii) one hundred dollars ($100 USD).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit liabilities, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under such applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Vibecode.party and its operators, owners, licensors, service providers, partners, employees, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, fines, penalties, expenses, and attorney's fees arising out of or related to: (a) your use of and access to the platform; (b) your violation of any term of these Terms of Service; (c) your violation of any third party right, including without limitation any intellectual property right, publicity, confidentiality, property or privacy right; (d) any claim that your content caused damage to a third party; (e) any content you post, upload, use, distribute, store or otherwise transmit through the platform; or (f) any other party's access and use of the platform with your unique username, password or other appropriate security code.

11. Termination

We may terminate your access to Vibecode.party at any time, with or without cause, and without prior notice.

You may terminate your account at any time by contacting us.

12. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of any changes by posting the new Terms of Service on Vibecode.party. You are advised to review these Terms of Service periodically for any changes.

Your continued use of Vibecode.party after any changes to these terms constitutes acceptance of those changes.

13. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which the platform operator is located, without regard to its conflict of law principles. You agree that any legal action or proceeding arising out of or relating to these Terms of Service or your use of the platform shall be brought exclusively in the state or federal courts located within that jurisdiction, and you hereby consent and submit to the personal jurisdiction of such courts for the purpose of litigating any such action.

You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts, including but not limited to objections based on inconvenient forum. Any claim or cause of action arising out of or related to use of the platform or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred.
